NOTICE OF ANNUAL MEETING OF Farmers Union Oil Company of Alexandria NOTICE IS HEREBY GIVEN, that there will be an Annual meeting of the members of Farmers Union Oil Company of Alexandria, at 11:00 o'clock (a.m.) on February 20th, 2020 at the K.C. Hall located on 6th Avenue in Alexandria, Minnesota. The purpose of the meeting will be as follows: This year your Board of Directors is proposing that the Cooperative's Articles of Incorporation and Bylaws be restated. The changes made in the bylaws are minimal, however are for the purpose of keeping current with General Accounting Practices and protecting the financial interests of your cooperative. These restatements will be voted on at the annual meeting on February 20th, 2020. covers the highlights of the proposed changes. A complete set of the Articles & Bylaws will be available to each attendee at the upcoming annual meeting. We hope you will contact any of us if you have questions. This summary Membership These new restated Articles of Incorporation and Bylaws will allow any person entering into a patronage relationship with the association and who does the minimum amount of business determined by the Board of Directors is eligible for membership and becomes a member upon approval of the Board of Directors and upon receiving from this association written notification and a copy of the Bylaws ("Consent Bylaw") providing for consent to take patronage distribution into income. Members will no longer be required to own a $25.00 share of common stock. Members having a share of common stock will have the $25.00 transferred to their allocated equity. Board of Directors The requirement stating that the Majority of the Board of Directors must be producers of agricultural products (individuals, firms, partnerships, corporations or associations) shall remain.
